Terms of Use

These Terms of Use ("Terms") govern your access to and use of SenteBook, a business management platform operated by Kazi Media Ltd ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use SenteBook.

Eligibility and Account Registration

To use SenteBook you must:

You are responsible for all activity that occurs under your account, including actions taken by employees or collaborators you invite to your Workspace. If you suspect unauthorised access, you must notify us immediately at security@sentebook.com and change your password.

We reserve the right to refuse registration or cancel accounts at our discretion, particularly where we have reason to believe these Terms are being violated.

SenteBook provides cloud-based business management tools for small and medium enterprises, including but not limited to:

The Service is provided on a software-as-a-service (SaaS) basis. We may modify, suspend, or discontinue any feature at any time. Where material changes affect paid features, we will provide reasonable advance notice.

SenteBook is a record-keeping and management tool. It does not constitute financial, accounting, tax, or legal advice. You remain responsible for compliance with all applicable laws, taxes, and regulations governing your business.

Section 04

Subscriptions and Payment

4.1 Plans and billing

SenteBook offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual cycle, as selected at the time of purchase. Pricing is displayed in Ugandan Shillings (UGX) and is subject to applicable taxes.

4.2 Payment

By providing payment details, you authorise us (or our payment processor) to charge the applicable subscription fee on each renewal date. You must keep your billing information accurate and up to date.

4.3 Renewals and cancellation

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date.

4.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law, or at our discretion in cases of billing error. If you believe you have been charged in error, contact billing@sentebook.com within 14 days of the charge.

4.5 Overdue accounts

If a payment fails, we will notify you and attempt to retry. If payment is not received within 7 days of the due date, we may downgrade your Workspace to a free plan or suspend access to paid features until payment is resolved.

Acceptable Use

You agree to use SenteBook only for lawful business purposes. You must not:

Section 06

Your Data and Content

6.1 Ownership

You retain full ownership of all Content you submit to SenteBook. We do not claim any rights over your business data, financial records, or customer information.

6.2 Licence to us

By submitting Content to the Service, you grant Kazi Media Ltd a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely for the purpose of operating and providing the Service to you.

6.3 Data accuracy

You are responsible for the accuracy and completeness of all Content you enter into SenteBook. We do not verify the accuracy of your business records and accept no liability for decisions made on the basis of data entered incorrectly by you or your team.

6.4 Backups and export

We perform regular infrastructure-level backups. However, you are responsible for maintaining your own copies of critical business records. You may export your data at any time from within your account settings.

6.5 Data after termination

Upon termination or expiry of your account, your data will be retained for 90 days during which you may request an export. After this period, your data will be permanently deleted, subject to legal retention obligations described in our Privacy Policy.

Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using SenteBook you consent to the data practices described therein.

As a Workspace Owner, you are responsible for ensuring that you have the appropriate legal basis to enter any personal data (including customer and employee information) into SenteBook, and that doing so complies with the Uganda Data Protection and Privacy Act 2019 and any other applicable data protection laws.

Intellectual Property

8.1 Our IP

The SenteBook platform — including its software, design, user interface, brand, trademarks, logos, and documentation — is owned by Kazi Media Ltd and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of our IP to you.

8.2 Feedback

If you submit feedback, suggestions, or ideas about improving SenteBook, you grant us the right to use that feedback freely without obligation, compensation, or attribution to you.

8.3 Restrictions

You may not copy, reproduce, distribute, create derivative works from, or publicly display any part of the Service or its content without our prior written consent, except as expressly permitted by these Terms.

Third-Party Services

SenteBook integrates with third-party services including Supabase (infrastructure), Google OAuth (authentication), and payment processors. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices, content, or availability of any third-party service.

Links to external websites within the Service are provided for convenience only. We do not endorse and are not responsible for any third-party website or its content.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

You use the Service at your own risk. Always verify critical financial data independently before making significant business or financial decisions.

Section 11

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAZI MEDIA LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR UGX 500,000, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Kazi Media Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

Suspension and Termination

13.1 Termination by you

You may close your account at any time from your account settings. Paid subscriptions will continue until the end of the current billing period.

13.2 Termination by us

We may suspend or terminate your account immediately and without notice if:

Where it is reasonable to do so, we will give you advance notice and an opportunity to remedy the breach before suspension or termination.

13.3 Effect of termination

Upon termination, your right to access the Service ceases. The following provisions survive termination: Sections 6 (Your Data), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law).

Section 14

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict-of-law principles.

In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to the courts of competent jurisdiction in Uganda.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may close your account.
